We at PocketWise Technologies Limited (formerly known as PocketWise Technologies Private Limited) (“our”, “us”, “we”, “Company”, “PocketWise”) have developed the PocketWise mobile application (“App”) and are happy to have you with us. Please read these terms of use (“Terms”) carefully before you use the App since they constitute the agreement between: (a) you; (b) us; and (c) PocketWise AMC Limited (“PocketWise AMC”). PocketWise AMC shall collectively be referred to as (“Partners”).
For your ease, we have provided summaries of some crucial Terms. However, in case of any conflict between the summaries and these Terms, the Terms shall prevail.
These Terms incorporate the following documents (including all their variants and updates) by reference: (a) the PocketWise Privacy Policy; and (b) the agreement(s) executed by you (and co applicants, members, nominees, if any) for availing the Services (as defined in the Sections below) from us and our Partners. By accessing or using our Services or the Services of PocketWise AMC, you agree (on behalf of yourself and your co-applicants, members, nominees, if any) to be bound by these Terms and to the collection and use of your information as set forth in the PocketWise Privacy Policy.
All our Services are subject to applicable laws, government notifications, the rules, regulations and guidelines issued by the Securities and Exchange Board of India ("SEBI") and any other regulatory bodies defining the rules/regulations governing the offer of any Services on the App. We may revise these Terms as well as update the App and Services from time to time, so please keep visiting this page regularly. If you do not agree with any part of these Terms, please stop using the App immediately. If you have any queries or concerns regarding these Terms, please contact our Grievance Officers (please refer Clause 3 of Section 1 below for details of our Grievance Officers). We are also a lending service provider to PocketWise Finserv Limited (“Lending Partner”) and provide services, such as IT services, data and analytics support, to the Lending Partner, in accordance with applicable laws.
Also, do note that you will be able to install the (i) digital lending application for cash loans ("Cash Loan App") and (ii) digital lending application for home loan ("Home Loan App"), both provided by the Lending Partner through our App. In these Terms, the Cash Loan App and the Home Loan App will collectively be referred to as the “PocketWise Finserv Lending App”. If you avail any services from the Lending Partner, through the PocketWise Finserv Lending App, please refer to their terms of use and privacy policy. Your relationship with the Lending Partner is governed solely by their terms of use and privacy policy, and other agreements executed between you and the Lending Partner or their co lending partners. In such cases, you are contracting a service directly with our (i) Lending Partner; or (ii) Lending Partner and their co-lending partner jointly. We accept no responsibility for the provision of loans or its consequences. We only provide a third-party link to install the PocketWise Finserv Lending App. We are not liable for any losses that may occur as a result of the acts or omissions of the Lending Partner or the co-lending partner.
Any parent, subsidiary, or group company of PocketWise (including the Lending Partner) and our Partners (PocketWise AMC) are collectively referred to as “Affiliates”.
If you avail our Services, Section 1 of this Terms will be applicable to you.
The PocketWise Privacy Policy details the nature and type of information we collect and process to enable the setting up of a PocketWise Account or for you to access the Services or the App. If the information provided by you does not, in our sole discretion based on our internal policies, amount to reliable information or appears to be fraudulent, then we will not allow you to open a PocketWise Account. If we discover any deficiency in the information provided by you on a later date, then we may terminate your PocketWise Account. Please note that we may add further verification procedures in the future, whereby you may be required to provide us with more information.
Summary: We provide our Services ‘as is’, and we make no promises or guarantees about these Services. We will not be liable for damages or losses arising from your use or inability to use the Service or otherwise arising under this arrangement.
PocketWise only helps you gain access to financial services, i.e., we are only a facilitator. We do not independently provide any financial services. You are contracting such a service directly from the provider of the financial service, as identified at the time of provision of the respective service. We accept no responsibility for the provision of such financial services or its consequences. Our responsibility is limited to connecting you to the provider of the financial services. We are not liable for any losses that may occur as a result of the acts or omissions of the relevant financial service provider.
We may also facilitate funds transfer between you and your financial service provider. We do not accept responsibility for any amounts transferred from or to your bank account or any remittance failures. However, we shall undertake all reasonable steps to ensure such actions do not take place. In case you are facing any issues, please write to help@pocketwise.com immediately.
The App and Services are provided on an “as is” basis without any representation or warranties, express or implied except otherwise specified in writing. We do not warrant the quality of the Services or the App, including its uninterrupted, timely, secure or error-free provision, continued compatibility on any device, or correction of any errors. In no event shall we or any of our Affiliates, successors, and assigns, and each of their respective investors, directors, officers, employees or agents be liable for any special, incidental, punitive, direct, indirect or consequential damages or losses suffered as a consequence of a breach of the Terms by another user or arising out of the use of or the reliance on any of the Services or the App.
In the event any exclusion contained herein is held to be invalid for any reason and we or any of our Affiliates, officers, directors or employees become liable for loss or damage, then, any such liability shall be limited to the amount of the product purchased by you.

UPI Terms and Conditions
If you participate in the Unified Payments Interface (“UPI”) platform on the App, Section 4 of these Terms will also be applicable to you.
The Company is a Third-Party Application Provider (“TPAP”) authorized by the National Payments Corporation of India (“NPCI”) to facilitate instant online payments through our sponsor PSP bank(s) on the UPI payment platform (“PocketWise UPI”). PocketWise UPI is an online payment service facilitator that allows you to make and receive payments using your bank accounts.
Scope of Services
Summary: We help facilitate online payments made by you. You must be an Indian resident and provide necessary information and consents we need in the manner we ask for. Eligibility: You may use PocketWise UPI services only if you are a resident of India, hold an active and authorized bank account with a participating bank, and if your bank account is linked to your mobile number.
Signing up to use PocketWise UPI: In order to use PocketWise UPI, you must create a profile (“PocketWise Account”) with us through the App. To create a PocketWise Account, you must provide us with your phone number, which we will authenticate with a one-time password. PocketWise UPI is offered through the App to our registered users. The registration process for PocketWise UPI is standardized and governed by the NPCI. We, as a TPAP, are responsible for implementing the process as notified by the NPCI from time to time.
PocketWise UPI Transactions: To make and receive payments through PocketWise UPI, you are required to register and link your bank account on the App. We will send an SMS from your mobile device in order to verify, validate, register, and link your bank account to facilitate payments through your PocketWise UPI ID. The PocketWise UPI ID is created by us on the App after successful registration and linking of your bank account. Post the completion of bank account linking, you will be able to perform activities such as initiate a UPI transaction, check account balance, set UPI PIN for bank account, reset/change UPI PIN, link up to a maximum of 3 bank accounts to PocketWise UPI, and set primary account. You can initiate the process for setting up a UPI PIN through the App. Please note that this process is through the interface and technology provided by your bank, and we do not guarantee success or failure when attempting to set up a UPI PIN using the App.
You agree to provide us with your consent to automatically fetch all bank accounts associated with your mobile number. We do not, however, store your bank account number. The personal information shared by you as part of the PocketWise UPI registration process, including your banking information, will be shared and stored in a secure database by our PSP bank(s) and the NPCI. You hereby agree to share this information and authorize PSP bank and NPCI to maintain it.
PocketWise UPI - How it works
Summary: Through your PocketWise Account, we help you make payments to individuals or buy products or services from merchants. We do not charge you for your usage of PocketWise UPI services.
Once you have registered for PocketWise UPI, you can use PocketWise UPI for making payments to individuals or to businesses for buying products and services online or offline. You can use your PocketWise UPI to scan QR codes at merchant locations via the PocketWise App and make payments. In order to authorize each payment on PocketWise UPI, you will be required to enter your UPI PIN associated with your bank account through which you are making the payment. Please ensure that you have a strong internet connection while making any transaction. Please note that the success of your transaction is dependent on it being authorized by your bank. The amount of transactions on PocketWise UPI is subject to a maximum transaction limit as set by our PSP bank(s). You can access and review the records of your transactions on PocketWise UPI under the “Transaction History” section. In the event that you identify an error in your transaction or an unauthorized transaction, please notify us immediately.
Suspension or Termination of Services: Our PSP bank(s) reserve the right to reject, block, or suspend any transaction initiated by you through PocketWise UPI if there is any suspicion that you are involved in fraudulent or illegal activities.
Charges
We do not levy any charge on you for your usage of PocketWise UPI. We reserve the right to introduce fees for any new or existing service in the future without prior notice. These fees will be displayed to you on the App before you are charged. Please note that your bank may charge you a transaction fee for UPI transactions.
Your Obligations and Responsibilities
While registering for and transacting through PocketWise UPI, you agree and acknowledge that: You are solely responsible for ensuring that your bank account is linked to your registered mobile number on your PocketWise UPI account.
Onboarding to NPCI’s UPI ID Mapper through your UPI Number
Your UPI Number is an incremental payment address which only consists of numeric digits (“UPI Number”). By availing PocketWise UPI services, you authorize us to assign a UPI Number (which will by default be your registered mobile number) to simplify your payment journey. By using PocketWise UPI services, you agree to let us register your UPI number with a central database managed by NPCI (“UPI ID Mapper”). Once registered, you can use your UPI Number to receive payments with ease. You understand that we will act in accordance with NPCI’s guidelines and/or procedures for this process, which includes but is not limited to, sharing your UPI details with NPCI and linking your current and/or savings bank account or UPI ID to your UPI Number. You can change this default setting and choose a different UPI Number anytime in the PocketWise UPI settings. You can also update or delete your UPI Number anytime by accessing the PocketWise UPI settings.
UPI Lite Terms and Conditions
UPI Lite is a service enabled by the NPCI on PocketWise UPI through which you can carry out low value transactions using an ‘on-device’ wallet (“UPI Lite”). These UPI Lite Terms and Conditions (“UPI Lite Terms”) apply to and govern the UPI Lite feature enabled by NPCI on the App. Please read these UPI Lite Terms carefully before accessing or using UPI Lite. You acknowledge that by enabling and/or using UPI Lite on the App, you have read, understood and agreed to be bound by the UPI Lite Terms. Registration
You can access UPI Lite from the homepage of the App and register for UPI Lite by adding an amount up to Rs. 2000/- into your UPI Lite account from your eligible bank account using your UPI PIN. You understand that you can only enable UPI Lite for one account on the App and not all your bank accounts linked to your UPI ID(s) may be eligible for UPI Lite. Usage Limits Once you have set up your UPI Lite account, you can make payments to individuals and merchants up to a limit of Rs. 500/- without entering your UPI PIN. The cumulative daily usage limit you can undertake using your UPI Lite account is capped at Rs. 4000/- per day. The total balance you are allowed to maintain in your UPI Lite account at any point of time shall be limited to Rs. 2000/-. You understand and agree that the above-mentioned limits are prescribed by the NPCI and may be revised by the NPCI, in its sole discretion without providing any prior intimation to you. Terms of UPI Lite You understand that the UPI Lite Balance on the App is a virtual ‘on-device’ balance and a reflection of the UPI Lite Balance allocated by you in your UPI Lite account. No interest will be payable by you on your UPI Lite account balance. You understand that actual money or funds with respect to UPI Lite Balance are not transferred to or received by NPCI from your issuing bank and is held and maintained solely with your issuing bank. You can replenish your UPI Lite Balance by allocating or adding additional funds to your UPI Lite account from your UPI Lite linked bank account only (“Top-Up Transactions”). You can only use your UPI Lite account to make debit transactions. All credit transactions will be routed through your bank account. You understand that you can only view Top Up Transactions in your bank account statement. For all other UPI Lite transactions, your issuing bank will send you an SMS once a day, containing a history of UPI Lite transactions carried out by you during the day. Disablement of UPI Lite You have the option to disable your UPI Lite account at any point of time through your UPI Lite account section under the App. Once you have disabled UPI Lite, any unutilized UPI Lite Balance shall be credited to your bank account by your issuing bank. In the event you wish to change your mobile device or uninstall the PocketWise App, please ensure that you have disabled your UPI Lite account and transferred your UPI Lite Balance back to your bank account. You agree that we shall not be responsible for any loss of UPI Lite Balance that occurs as a result of your failure to do so. Transaction Reversal In the event of a transaction dispute or failed transaction, you can request for a reversal of the transaction in your UPI Lite account. You can raise a complaint to the customer support team and provide the necessary details to initiate a reversal. The reversal request shall be processed in accordance with NPCI’s guidelines and may be subject to certain terms and conditions. Miscellaneous We reserve the right to suspend or disable your UPI Lite account, or take any other action, if we suspect any fraudulent or unauthorized activities. We will notify you of such action if it is possible to do so. Contact Information For any queries or support related to UPI Lite or PocketWise UPI, please contact our customer support team through the contact details provided on the App. Governing Law These UPI Lite Terms are governed by the laws of India. Access and Usage Summary: We enable you to make Bill Payments Services for making payments to various billers. You can access the Bill Payment Services from the ‘Recharge & pay bills’ section of the PocketWise App. To avail the Bill Payment Services, you will be required to provide relevant details which may include but is not limited to your registered mobile number, your bill number, bill amount, and other bill-related details. We will fetch your payment/due and other information to enable your timely payment of bills. Customer Obligations Summary: In order to avail the Bill Payments Services, you must follow certain obligations. You understand and acknowledge that the responsibility for providing correct information/details, including payment details including but not limited to details of the biller/bill number, amount of the bill etc., lies solely with you and the Company shall not be responsible for verifying the accuracy of the information/details provided by you. You represent and agree that the Bill Payment Services availed by you shall not be used to make fraudulent transactions or for unlawful and/or illegal purposes. You agree that you are responsible for all transactions conducted through the Bill Payment Services and in the event of any wrong payment made to an incorrect party, the Company shall not be liable to reimburse you or reverse such payment. In the event of any wrong payment made, your sole remedy will be to approach the biller or party to whom the payment was made. Fees and Charges Your access and use of the Bill Payment Services may be subject to the levy of certain fees and charges. You shall not hold the Company liable for any such fees and charges imposed on you. Disclaimer The Bill Payment Services are provided to you on the PocketWise App on an “as is” basis. The Company, its agents, or partners do not provide any representation and/or warranty of any kind to the BPS made available on the PocketWise App. The Bill Payment Services are made available on the PocketWise App through (i) aggregators or (ii) the BBPOU registered Billers. The payments made by you through the Bill Payment Services are solely between you and the biller, and the Company will not be liable in any way for any losses you may suffer as a result of a transaction initiated by the Company on your instructions. Once you have initiated a payment, the same cannot be reversed. The Company does not provide any warranty as to the Bill Payment Services being uninterrupted, timely, or error-free or free of defects. Indemnity You hereby agree to defend, indemnify, and hold harmless the Company, its affiliates, employees, officers, directors, shareholders, agents, representatives from and against any and all claims, actions, suits, proceedings initiated against it and any loss, cost or damage, expenses (including legal fees) incurred by it as a result of: Your access and use of the Bill Payment Services. Your violation of these terms and conditions, specifically regarding any fraudulent payments made by you through the Bill Payment Services. Any third-party claim arising out of your access and use of the Bill Payment Services. Supplementary Terms The Company is only a facilitator of the Bill Payments Services and does not have any role in the payments made to the billers. The Company shall not verify any details pertaining to the bill amount to be paid or recharged and the same is based on your relationship and/or agreement with the biller. Grievances If you have any grievance with regards to a payment/transaction made by you through the Bill Payment Services offered by the Company, you can raise a query for the same through the Recharge and pay bills section of the PocketWise App. GENERAL If you avail any Services from us or our Affiliates and/or avail any Benefits or rewards under the Loyalty Program, Section 6 of these Terms will be applicable to you.

The PocketWise Privacy Policy (available here) provides the manner in which we and our Partners store, process, collect, use, and share the data that is collected from you. Please read it so you know your rights in this regard.
Summary: You must always (a) provide us with correct information; (b) keep your mobile device secure; and (c) be responsible for all costs in case we suffer any damages or claims owing to your use of the App. Lastly, remember to keep the App updated. Duty to provide true information: The information you provide is used by us and our Partners to determine your eligibility for our Services. It is critical that all information you provide to us is true, complete, not misleading, and is regularly updated by you. You should also ensure that you have the right to share any information that you provide us, in order for us to provide you the Services. If all or any part of this information is incorrect, incomplete, fraudulent, or misleading, or if you do not have the right to share such information with us, it would be a breach of these Terms and a violation of the law. You must further ensure that you do not do anything that can make the information provided by you incorrect, incomplete, fraudulent, or misleading at a later date. If you discover any information provided is incorrect, incomplete, fraudulent, misleading, or provided without adequate authority, then please write to the respective Grievance Officer immediately. Duty to be responsible: Considering the nature of the App and Services provided, please ensure that you keep your mobile device safe. You are solely responsible for all activities that occur under your credentials on the App and any amounts debited or credited to your bank account. You should keep your password safe and not disclose your PocketWise Account details to any third party or share the account with any third party. If you think someone has gained access to your PocketWise Account, please contact our Grievance Officer immediately and undertake such other activities as may be required. If you are directed to our third-party services, you may be subject to terms and conditions governing the use of that third party's service and that third party's personal information collection practices. Please review such terms and conditions and privacy policy before using the third party's services. Obligation to indemnify: To the extent permitted under applicable law, you agree, to indemnify us (i.e., the Company), our Affiliates, or their co-lending partner, directors, agents, and employees from and against all complaints, demands, claims, damages, losses, costs, liabilities, and expenses, including attorney’s fees, and any third-party claims due to, arising out of or relating in any way to (a) your access to or use of the App and/or Services; (b) your breach of these Terms; (c) your breach of any applicable laws or third-party rights; and/ or (d) any act of fraud or misrepresentation. Ensure compatibility and keep updated: You must ensure that you keep updating the App as and when we release new versions of it. Failure to do so may make you incapable of using certain Services or the App altogether. You should also ensure that you are able to use the App with your preferred bank account.
Summary: You shall not hack or in any way jeopardize the App. You should not use the App for any forward lending purposes or to grant loans to any third parties. You should not use the App/Services for any illegal purposes. These are explicitly barred. No scaling or jeopardizing our platform: You agree to not interfere with or use non-public areas of our App and our technical delivery system. You will not introduce any trojans, viruses, or any other malicious software, any bots, or scrape our App for any user information. Additionally, you will not probe, scan, or test the vulnerability of any system, security, or authentication measures implemented by us. If you tamper or attempt to tamper with our technological design and architecture, we may terminate your PocketWise Account. We may further report such actions to the appropriate law enforcement authorities and initiate legal actions. No commercial usage: You shall use the Services only for your lawful and personal use. You will not use our Services for any purposes not permitted under applicable law and these Terms. No illegal usage: You shall not use the App or the Services for committing fraud, embezzlement, money laundering, or for any other unlawful and/or illegal purposes. Further, although we may, from t ime to time, monitor or review any facilities, if established or otherwise offered on the App for discussions, chats, postings, transmissions, bulletin boards, and the like on the App, you are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law. We are under no obligation to do so and assume no responsibility or liability arising from the content of any such locations nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger, or inaccuracy contained in any information contained within such locations on the App. We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting any such information or materials. Maintenance of bank accounts: You shall not do any action that may jeopardize the PocketWise Account.
Summary: We own the content on the App. You cannot duplicate or commercially exploit the App or its content. All of the content on the App, including all images, illustrations, graphics, video clips, text, reports generated, trademarks, as well as the underlying code of the App (“App Content”), constitutes our intellectual property. We give you a limited, non-transferrable, non-sublicensable, and revocable license to access the App, avail of the features of the App for your personal, lawful requirements only. You are not entitled to duplicate, distribute, create derivative works of, display, or commercially exploit the App Content, features, or facilities, directly or indirectly, without our prior written permission. 5. REGULATORY CHANGES Summary: Financial technology is an evolving sector. This may lead to changes in law and regulations which may lead us to modify the App or shut it down. Regulation around technology companies such as ours is ever-changing. You understand that the Company may have to modify the Services as well as the App on account of the regulatory landscape we are subject to. In such case, if you become incapable of using all or any part of the App or the Services, the same shall not be our fault.
Summary: In order to provide you with a working ecosystem, we collaborate with various third parties. These third parties have their own protocols, terms of use, and privacy practices. We cannot be responsible for their activities. In providing the Services to you, we may use the services of third-parties (like payment system providers or cloud service providers) for practical and functional purposes in order to enhance the Services we provide you or offer you any other benefits. While we have appropriate agreements in place with these third parties, we do not accept any liabilities that may arise from our use of or reliance on such third-party services. Further, it may so happen that you are unable to link your bank account with the App – whether to credit or debit your account – in which case, we will not be liable for any damages or losses suffered by you.
Summary: Ads/third party services displayed on the App are not endorsed. Please use them at your own risk. Please read the terms of use of such third parties before using their services. We may, from time to time, display offers and advertisements from third parties on our App for your benefit. However, this does not mean we endorse these third parties. If you accept any of the services of such third parties, such arrangement shall be solely between you and the third party, you should avail of such services only after you have read their terms of use and privacy policies.
We may, from time to time, offer you loyalty points and other benefits or rewards under the ‘PocketWise Loyalty Program’ for your use of our Services/App. Participation in the program is voluntary. If you choose to participate in it, you agree to be bound by these Terms which include the Loyalty Program Terms.
We may, in our sole discretion, reward you when you refer new Users to PocketWise under the ‘PocketWise Referral Program’. PocketWise may also reward you when you provide feedback to PocketWise about the various Services that you avail from PocketWise or its Affiliates, under the ‘PocketWise Feedback Program’. Participation in the Referral Program and Feedback Program is voluntary. If you choose to participate in it, you agree to be bound by the terms specified under Annexure B (PocketWise Referral and Feedback Program) of these Terms.
Summary: We may terminate your PocketWise Account by informing you by email. However, you will continue to make the payments/premiums owed to our Affiliates as agreed under the respective documents/policies. If we decide to terminate your PocketWise Account for any reason, we will send you an email regarding the same. Termination will be effective immediately upon receipt of such email. Upon termination, you will immediately stop using your PocketWise Account and the Services. Termination of your PocketWise Account does not relieve you from any obligations you have towards us, our Affiliates, or third-party service providers under these Terms or under any agreements you have entered into with us, our Affiliates, or third-party service providers. In particular, you will continue to make payments/premiums owed to our Affiliates as agreed under the respective documents/policies. ANNEXURE A: POCKETWISE LOYALTY PROGRAM TERMS (“LOYALTY PROGRAM TERMS”)
PocketWise manages and operates the loyalty program ("Loyalty Program") on the PocketWise App. Under this program, we may periodically reward you with loyalty points, known as PocketWise Coins ("PocketWise Coins"), direct cashbacks, and other benefits or rewards for performing various actions on the PocketWise App. We will, at our sole discretion, determine which actions are eligible for rewards under the Loyalty Program. You can redeem PocketWise Coins for a variety of benefits, rewards, activities, or incentives (collectively referred to as "Benefits"). These Benefits include discounts on purchases made through the App, cashbacks, coupons, vouchers, and other offers that PocketWise may decide to provide, in compliance with applicable laws.
By participating in the PocketWise Loyalty Program, you agree to the following terms and conditions: a. PocketWise Coins and cashback rewards are given as part of our promotional program to encourage loyal users and good financial behavior on the PocketWise App. b. We reserve the right to determine which transactions are eligible to earn PocketWise Coins or cashbacks, and we may modify or discontinue eligible transactions without prior notice. c. For redemption purposes, 10 PocketWise Coins are equivalent to INR 1. We reserve the right to change the conversion value at any time and without prior notice. Please note that PocketWise Coins do not represent legal tender in any form. d. You can earn PocketWise Coins only through the PocketWise App, and you can redeem them only within the PocketWise ecosystem or the PocketWise App (not on third-party platforms). e. PocketWise Coins cannot be purchased, sold, or transferred. They are not your personal property, and you will not receive cash or money in exchange for them, except as specified in these Terms. f. The PocketWise Coins you earn will accumulate in the rewards section of the PocketWise app, where you can view all details regarding your earnings. g. PocketWise Coins are valid for one year from the date of issuance. After this period, unredeemed Coins will lapse and cannot be redeemed. We reserve the right to change the validity period for PocketWise Coins at any time and may set caps on the maximum number of Coins you can earn within a specific timeframe. h. Different categories of users may be offered different rewards or Benefits at the same time. The most relevant offers will be displayed to you based on your activity and relationship with PocketWise and its affiliates. Be sure to read the terms and conditions applicable to your specific offer as displayed on your PocketWise App. i. To be eligible for each Benefit, you may need to accumulate a minimum number of PocketWise Coins. PocketWise will determine this requirement at its sole discretion. j. In the event of a user’s death, any unredeemed PocketWise Coins will be forfeited. k. For cashback redemptions, you may need to provide your UPI ID or other relevant details. We may also require proof of identity or a micro-payment (up to Re.1) from your bank account before allowing you to withdraw cashback rewards. This requirement may not apply each time you redeem for cashbacks. l. Rewards and Benefits under the PocketWise Loyalty Program are not available to residents of Tamil Nadu, as they are ineligible under the Tamil Nadu Prize Scheme (Prohibition) Act 1979. Residents of Tamil Nadu must not participate in the Loyalty Program. 3. Earning and Redeeming PocketWise Coins: You can earn and redeem PocketWise Coins and cashbacks by transacting with PocketWise and/or our Affiliates as follows: a. Earn Transactions: Eligible users may earn PocketWise Coins for: (i). Paying EMI for a personal loan before the due date: Earn PocketWise Coins or cashbacks when you pay the Equated Monthly Instalment (EMI) for a personal loan (from PocketWise Finserv Limited) before the due date. (ii). Making payments using the UPI feature on the PocketWise App: When you make payments through PocketWise UPI, you may be eligible to earn rewards in the form of PocketWise Coins or direct cashbacks into your bank account linked to your PocketWise UPI ID. Note that not all transactions are rewarded; PocketWise may determine minimum transaction criteria for eligibility. Cashback rewards may take a few working days to be credited. Offers and eligibility may vary depending on promotions by banks, merchants, or at PocketWise's discretion. Details will be available on the PocketWise App. (iii). Participating in PocketWise’s referral programs: PocketWise may run referral programs where existing users ("Referrers") can invite new customers ("Referees") to join the PocketWise App. Referrers and Referees may be rewarded with PocketWise Coins, cashbacks, or other benefits when Referees use certain PocketWise products/services, according to the terms and conditions of the referral program. (Note: The above list of earning transactions is illustrative and subject to specific terms and conditions. PocketWise may modify the list at its discretion). b. Redemption of PocketWise Coins: Based on your eligibility, you can redeem PocketWise Coins for the following Benefits during their validity period: 4. Cashbacks into bank accounts: You can redeem PocketWise Coins for cashbacks directly into your bank account. Redemption is only allowed for your own bank account, and not for any third party. PocketWise may specify the maximum and minimum number of PocketWise Coins required to receive cashback. o Redemption of cashback rewards: You can redeem the cashbacks you earn (on eligible transactions) directly in your accounts. To redeem the cashback rewards, we may ask you to share your bank account details, UPI ID or other relevant details with us. We may also ask you to submit proof of identity and make a micro-payment (up to Re.1) through your bank account before allowing you to withdraw the cashback rewards into your bank account or wallet. We won’t necessarily do this each time you are entitled to earn the cashback rewards. PocketWise does not allow redemption of cashbacks into bank accounts of any third-party in any case. Users agree and acknowledge that they are withdrawing cashbacks into their own bank accounts (and not third-party bank accounts). (Note: The above list of redemption options is illustrative in nature and is subject to specific terms and conditions. PocketWise may modify the list at its sole discretion). 5. Suspension, Termination, and Exclusion from the Loyalty Program: We reserve the right to suspend, terminate, or exclude any user from the Loyalty Program, without assigning any reason, for reasons including but not limited to: violation of PocketWise App terms and conditions or these Loyalty Program Terms, misuse of PocketWise Coins, fraudulent activities, or non-compliance with applicable laws. If PocketWise suspends, terminates, or excludes a user from the Loyalty Program, the user’s PocketWise Coins and rewards may also be forfeited, and PocketWise shall not be liable for any damages or claims related to such actions. 6. Modification of Terms: We reserve the right to modify, alter, or update the terms of the Loyalty Program at any time, without prior notice. Any changes or modifications to these Loyalty Program Terms will be effective immediately upon posting on the PocketWise App. 7. No Liability: PocketWise will not be responsible for any loss, damage, or claim arising out of or in connection with the Loyalty Program or any Benefits, including but not limited to errors, inaccuracies, or delays in rewards. 8. Governing Law and Dispute Resolution: The Loyalty Program Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with the Loyalty Program shall be subject to the exclusive jurisdiction of the courts in Bangalore. POCKETWISE FEEDBACK PROGRAM TERMS AND CONDITIONS 1. These terms and conditions (“Terms”) are applicable for the feedback program (“Program”) of PocketWise Technologies Limited (“PocketWise”). All customers ("Customers") of PocketWise who have an active account on the PocketWise mobile application (“PocketWise App”) and meet the eligibility criteria as set out in these terms shall stand to receive Amazon Pay Gift Card (“Voucher”), of Rs. 250/- (Rupees Two Hundred and Fifty Only) issued by PocketWise Technologies Limited and co-branded with Amazon Pay (India) Private Limited (“Amazon”), in the manner set out below. 2. Customers who meet criteria as set out hereinbelow shall be eligible for the Program ("Eligible Customer"): a. The customer has registered themselves on the PocketWise App; b. The customer is a natural person who is a resident Indian and is of the age of 18 years and above as of May 3, 2023; c. The customer shall have shared with PocketWise their contact details linked to WhatsApp and has received a communication from PocketWise seeking Feedback (as defined below); d. The customer provides Feedback in relation to the PocketWise App; e. The Feedback meets the internal criteria set out by PocketWise for the purpose of deeming it to be valid Feedback; f. The customer has read and has accepted these Terms as binding on them; g. Customer is not residing in the state of Tamil Nadu; it is clarified herein that customers residing in the state of Tamil Nadu shall not be eligible for this Program. 3. PocketWise shall share a communication with Eligible Customers seeking Feedback in relation to the services of PocketWise and the features and functionalities on the PocketWise App. Eligible Customers hereby accept that PocketWise may send communications in relation to the Program to them through WhatsApp or such other channels as deemed fit by PocketWise. Customers who seek to participate in the Program may respond to the communication and provide Feedback to PocketWise. By participating in the Program, the Eligible Customer agrees to PocketWise sending them communications. 4. For the purpose of these terms "Feedback" shall mean: a. Feedback provided in relation to the features and functionalities of the PocketWise App; and b. Services provided by PocketWise Technologies Limited, including without limitation, customer service and suggested improvements to the same. 5. PocketWise shall review the Feedback provided by each Eligible Customer as per its internal parameters to ascertain whether the Feedback provided by the Eligible Customer meets the requirements for valid Feedback. As per the internal parameters of PocketWise, valid Feedback shall not include: a. Feedback in relation to products and services of any of PocketWise's affiliates; b. Any messages or content by an Eligible Customer which may be deemed to be derogatory, offensive, obscene or uses profanity; c. Any feedback which contains incorrect or misleading information; d. Any feedback which is not in relation to the features and functionalities of the PocketWise App or PocketWise's services; e. Feedback provided is incomplete in any form. The above parameters are only illustrative of some of the internal parameters adopted by PocketWise. The decision of PocketWise as to whether the Feedback provided by an Eligible Customer is valid Feedback or otherwise shall be final and binding on the Eligible Customer. 6. KEY TERMS IN RELATION TO VOUCHERS a) PocketWise shall provide an intimation to the Eligible Customers who provide valid Feedback that they shall receive a Voucher. In case of Feedback that is rejected, PocketWise, in its sole discretion may intimate the same to the Eligible Customer. If no intimation is received from PocketWise, the Feedback may be deemed to have been rejected as not valid, and PocketWise shall not be required to provide any justification for the rejection. The decision of PocketWise in this regard shall be final and binding. b) Eligible Customers who provide valid Feedback in accordance with the Terms shall receive the Voucher on the electronic mail address registered with PocketWise within a period of seven (7) days from the date of sharing valid Feedback with PocketWise. PocketWise holds the discretion to alter the timelines mentioned above for sending the Voucher at its sole discretion. c) All Vouchers offered in this Program are subject to the terms and conditions specified in relation to such Voucher. PocketWise accepts no responsibility for providing any support connected to the Voucher. PocketWise accepts no responsibility for any variation in value of the Voucher. PocketWise has made no warranty or guarantee in whole or in part, express or implied, in fact or in law, in relation to the use of any Voucher including, but not limited to, its quality, and merchantability, f itness for a particular purpose or suitability for use. d) Each Voucher issued is valid for a period as specified on the Voucher and/or the terms and conditions in relation to the Voucher. The Eligible Customer hereby waives its right to any legal recourse under applicable laws, if a Voucher is redeemed after an expiry of the validity period in relation to the Voucher. PocketWise reserves the right at its sole discretion to determine the value of the Voucher to be issued to the Eligible Customer. PocketWise reserves the right to amend or reduce the value of the Voucher to be issued at any time during the term of the Program prior to issuing the Voucher to the Eligible Customer. e) PocketWise holds no warranty and is not representative of the delivery, service, suitability, merchantability, availability or quality of any products, services or items being provided by Amazon against the Voucher and/ or pursuant to the Program. Any disputes regarding delivery, service, suitability, merchantability, availability or quality of the products, services and/or items made available to the Eligible Customer against the Voucher or under the Program must be addressed in writing, by the Eligible Customer directly to Amazon and PocketWise will not entertain any communication in this regard. f) These Terms are in addition to the terms and conditions of Amazon in relation to the Voucher to which the Eligible Customer agrees by being issued the Voucher. To the extent the terms and conditions of Amazon in relation to the Voucher are inconsistent with these Terms, the terms and conditions of Amazon will prevail with respect to the Voucher and these Terms will prevail with respect to the Program conditions. g) This Program cannot be combined with any other offers or programs. The Program cannot be transferred or assigned to any other person and the Eligible Customer shall not have the right to transfer or assign the Vouchers to any other person. The Voucher cannot be reloaded, resold, transferred for value or redeemed for cash. h) Any tax or other liabilities or charges payable to the government or any other statutory authority/body or any participating establishment, which may arise or accrue to the Eligible Customer due to provision of the Voucher, shall be to the sole account of the Eligible Customer. Tax deducted at source, if any, on the monetary value of the Voucher shall be payable by the Eligible Customer directly. 7. GENERAL TERMS IN RELATION TO THE PROGRAM a) PocketWise reserves the right to, without liability or prejudice to any of its other rights, at any time at its sole discretion, without previous notice and from time to time, withdraw/suspend/amend/cancel this Program, without assigning any reason. PocketWise may notify/communicate the amended terms and conditions by hosting the same on its mobile application or website or an independent link or in any other manner as decided by PocketWise. The Eligible Customers shall be responsible for regularly viewing these Terms, including amendments thereto as may be posted by PocketWise from time to time and the Eligible Customers shall be deemed to have accepted the amended terms and conditions. b) The offer in these Terms is made on a best effort basis and nothing contained in these Terms, or the running of this Program to which they apply, shall be construed as an obligation on PocketWise or any entity in the PocketWise Group to continue the Program up to, on or after the time the Program period ends. Nothing mentioned herein amounts to a commitment or representation from PocketWise to conduct further such programs in future or to continue this Program for the entire duration as mentioned earlier. c) If the Program or anything to be done by PocketWise or any other entity in respect of the Program is prevented or delayed by causes, circumstances or events beyond the control of PocketWise or any other entity, including but not limited to computer viruses, tampering, unauthorized intervention, network failure, data storage failure, telecommunications failure, malfunction, interception, fraud, technical failures, floods, fires, accidents, earthquakes, riots, explosions, wars, hostilities, pandemics, acts of government or other causes of like or similar or other character beyond the control of PocketWise or the other entity(ies), then PocketWise and/or the other entity(ies) shall not be liable for the same and will not be liable for any consequential damages. PocketWise reserves the right, in its sole discretion, to cancel, terminate or suspend this Program or any part of this Program upon the occurrence of any aforementioned event beyond the control of PocketWise. d) If PocketWise, in its sole discretion, finds that an Eligible Customer is tampering with the entry process or the operation of the Program, or has repeatedly shown disregard for, or attempts to circumvent, these Terms, or acts: (a) in a manner PocketWise determines to be unfair; (ii) with the intent to annoy, threaten, or harass any other Customer; or (iii) in any other disruptive manner, will be disqualified from receiving the Voucher and will be prosecuted under applicable laws. PocketWise's failure to enforce any of these Terms does not imply that these Terms or PocketWise's rights have been waived. e) CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, POCKETWISE RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. f) By participating in the Program, each Eligible Customer acknowledges that PocketWise may contact them for providing any additional information or support, or for any other purposes in connection with the Program. g) The Program is governed by Indian laws and is subject to the exclusive jurisdiction of the courts in Bangalore. h) For any assistance regarding the Program, please reach out to PocketWise's customer support. Key Terms and Conditions: a. The cashback will be transferred to the Referrer's designated bank account within a maximum period of two (2) months from the date of the qualifying investment, subject to PocketWise's sole discretion. Referrers who meet the Program's requirements but have not received the cashback should contact help@pocketwise.com within 3 months of the Reward becoming due. Claims made after the expiry of 6 months from the Validity Period are not eligible for legal recourse. b. Eligible Referrers will receive the Reward in the account details provided by them. PocketWise is not liable for any claims arising from incorrect account information, including incorrect bank account details provided by the Referrer and/or the Referee. c. PocketWise reserves the right to modify, discontinue, or terminate the Program at any time without prior notice. Nothing in these Terms or the operation of this Program guarantees its continuation or the offering of any rewards in the future. d. Cashback will be subject to applicable withholding taxes as required by law. e. The Program cannot be combined with other offers or programs. The Referrer cannot transfer or assign the Reward amount to any other person. The Reward will not offset any of the Referrer's payment obligations to PocketWise. The Referrer must refund or repay the Reward if any of the Terms are breached. f. Participation in the Program is entirely voluntary. By participating, the Referrer: i. Confirms acceptance of and agrees to be bound by these Terms. ii. Will not undertake selling or advisory activities in the secondary market related to securities and will not manage the portfolio of the Referee, limiting their role strictly to "Referral." iii. Affirms they have not acted as a PocketWise agent or published any material suggesting they are a PocketWise representative without explicit written permission from PocketWise. iv. Confirms they are not an employee of PocketWise or any related entity, nor a relative (dependent spouse, parent, or children) of an employee. v. Agrees not to offer rebates or commissions to the Referee and will refrain from attracting Referees/investors through rebates, gifts, or similar incentives. g. The Referrer agrees not to engage in cloning, reverse engineering, or copying the PocketWise App or any part thereof, for personal or commercial purposes. This includes creating similar apps, replicating features, or duplicating the design or functionality of the PocketWise App. 12. Other Terms and Conditions: a. If the fulfillment of the Program or Reward is delayed or prevented by circumstances beyond the control of PocketWise or any related entity (such as computer viruses, unauthorized interventions, network or data storage failures, technical issues, natural disasters, wars, pandemics, government actions, etc.), PocketWise will not be held liable for any consequential damages. PocketWise reserves the right to cancel, terminate, or suspend the Program or any part of it in the event of such uncontrollable circumstances. b. If PocketWise finds that a Customer is tampering with the entry process, showing disregard for these Terms, or engaging in unfair, disruptive, or fraudulent behavior, the Customer will be disqualified from receiving the Reward. PocketWise reserves the right to take legal action and to terminate and disqualify such customers from the Program, including forfeiting any accrued or received Rewards. Failure to enforce any of these Terms does not imply a waiver of PocketWise's rights. c. PocketWise makes no commitment, express or implied, to respond to feedback, suggestions, or queries from Customers regarding the Program. d. Proof of submission of information or documents to PocketWise does not guarantee receipt by PocketWise. e. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; POCKETWISE RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW OR SEEK ANY ADDITIONAL LEGAL RECOURSE. f. PocketWise shall be under no liability whatsoever in respect of all actions, claims, demands, proceedings, losses, damages, personal injury (including actual or perceived loss of reputation, defamation, or the like) (hereinafter 'Dispute') and costs, charges, and expenses whatsoever, arising directly or indirectly out of: i. any Disputes from third parties relating to the credit, character, and reputation (including actual or perceived loss of reputation, defamation, or the like), alleged to have been caused by the Customer in relation to the Program. The settlement of this Dispute shall be the sole responsibility of the Customer; ii. the exercise by PocketWise of its right to terminate, suspend or alter the Program; iii. any misstatement, misrepresentation, error or omission in any details disclosed to PocketWise; iv. any Dispute raised by a Referee being introduced by a Referrer without the knowledge or consent of the Referee; v. any Disputes between the Referrer and Referee; vi. late, lost, delayed, damaged, misdirected, incomplete, undelivered, inaccurate, illegible, or unintelligible entries; vii. telephone, electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind; viii. failed, incomplete, garbled, or delayed computer transmissions; ix. the downloading of any material in connection with this Program; x. if Reward cannot be remitted due to cancellations, delays or interruptions due to acts of God, acts of war (declared or undeclared), natural disasters, pandemics, weather, acts of terrorism, riot or civil disturbance, satellite or equipment failure, federal, state or local law, order or regulation, public health crisis, or order of any court or any condition caused by events beyond the reasonable control of PocketWise that may cause the Program to be disrupted or corrupted; xi. any injuries, losses or damages of any kind arising in connection with or because of, or from participation in the Program; or xii. any printing or typographical errors in any materials associated with the Program. g. POCKETWISE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND EXPRESS OR IMPLIED, REGARDING THE CUSTOMER'S PARTICIPATION IN THE PROGRAM. BY PARTICIPATING IN THE PROGRAM, EACH CUSTOMER AGREES TO RELEASE AND HOLD POCKETWISE GROUP AND ITS EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS, REPRESENTATIVES OF POCKETWISE GROUP, THEIR AFFILIATES, SUBSIDIARIES, ADVERTISING, PROMOTION AND FULFILLMENT AGENCIES HARMLESS FROM ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS AND ACTIONS OF ANY KIND IN CONNECTION WITH THE PROGRAM, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH, AND PROPERTY DAMAGE, AND CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, OR INVASION OF PRIVACY. EACH CUSTOMER ALSO AGREES TO RELEASE AND HOLD POCKETWISE HARMLESS FROM ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS AND ACTIONS OF ANY KIND IN CONNECTION WITH THE PROGRAM, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH, AND PROPERTY DAMAGE, AND CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, OR INVASION OF PRIVACY. h. NEITHER POCKETWISE NOR ANY OF THEIR AFFILIATES SHALL BE LIABLE TO THE CUSTOMER OR ANY THIRD PARTY FOR DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF SAVINGS, LOSS OF BUSINESS OPPORTUNITY, REGARDLESS OF THE FORM OF THE ACTION OR THE THEORY OF RECOVERY, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. i. The total aggregate liability of PocketWise or any affiliates of either party arising out of this Program will be limited to the total amount of Reward(s) offered under this Program. 13. Changes to Terms and Conditions: a. PocketWise may revise, amend, modify or supplement these Terms from time to time. Any such revision, amendment, modification or supplement shall be effective immediately upon being posted on the PocketWise website. Continued participation in the Program after any such changes shall constitute acceptance of the revised Terms. 14. Jurisdiction: a. All disputes and matters arising in connection with this Program and these Terms shall be governed by the laws of India and subject to the exclusive jurisdiction of the courts of Bangalore, India. 15.
